GENERAL CONDITIONS OF SALE Inno-WebShop
Article 1. Applicability
1.1 All offers, orders and agreements from the WebShop. (“Inno-WebShop”) shall be subject to these General Conditions of Sale (“Conditions”) to the exclusion of any other General Conditions. These Conditions have been deposited at the Chamber of Commerce in Rotterdam under number 24346612, which we shall forward upon request.
1.2 The acceptance of an offer or placing an order shall be considered as your acceptance of these Conditions.
1.3 These Conditions may only be departed from in writing in which case all remaining provisions shall remain in force.
1.4 All rights and claims such as stipulated in these Conditions and any subsequent agreements for Inno-WebShop shall also be stipulated for any intermediaries or other third parties engaged by Inno-WebShop.

Article 2. Offers/agreements
2.1 All offers from Inno-WebShop shall be non-binding and Inno-WebShop shall expressly reserve the right to alter prices in particular if (legally) necessary. See also Article 3.6.
2.2 An agreement shall only be established following acceptance of your order by Inno-WebShop. Inno-WebShop shall be entitled to refuse orders or introduce certain provisions to the delivery unless expressly agreed otherwise. If an order is not accepted, Inno-WebShop shall give notification of this 10 (ten) workdays following receipt of the order.

Article 3. Prices and payment
3.1 The prices stated for the products and services offered shall be in euros including VAT and excluding handling and dispatch costs, any taxes and other levies unless otherwise stated or agreed in writing.
3.2 Payment shall take place on receipt of the goods by way of “cash on delivery”.
3.3 Payment may take place in (one of) the way(s) stated during the order process. Your order may be made subject to other provisions (of payment/order). In case of bank or giro transfer, the effective payment date shall be the date of crediting the Inno-WebShop giro- or bank account.
3.4 In the case late payment, you shall be in default from the date payment should have taken place and shall be liable to default interest of 1% per month or part month over the outstanding amount. If payment takes place following demand note by Inno-WebShop, you shall be liable for administrative costs of €22.69 (twenty-two euros and sixty-nine cents) and if Inno-WebShop outsources the collection, you shall also be liable for collection expenses of at least 15% (fifteen per cent) of the outstanding amount, without prejudice to Inno-WebShop's right to demand the actual out-of-court collection costs incurred.
3.5 If you are in default with any payment, Inno-WebShop shall be entitled to suspend or dissolve (the carrying out of) the respective agreement and the associated agreements.
3.6 If the prices for the products and services offered increase during the period between ordering and the their carrying out, you shall be entitled to cancel the order or dissolve the agreement within 10 (ten) days of notification of the increase by Inno-WebShop.

Article 4. Delivery
4.1 The delivery times indicated by Inno-WebShop shall only be a guide. Exceeding any delivery deadline shall not entitle you to compensation or give you the right to cancel your order or to dissolve the agreement unless the delivery deadline was exceeded in such a way that it cannot be reasonably expected of you to carry out the agreement. You shall in that case be entitled to cancel the order or to dissolve the agreement as far as necessary.
4.2 The delivery of the products shall take place at the address and time when the products are ready for dispatch to you.

Article 5. Reservation of ownership
5.1 The ownership of products delivered shall only be transferred after you have fulfilled all obligations of any agreement to Inno-WebShop. The risk regarding the products shall pass to you at the point of delivery.

Article 6. Intellectual and industrial property rights
6.1 You shall respect all intellectual and industrial property rights resting on the products delivered by Inno-WebShop in their entirety and without reservation.

Article 7. Complaints and liability
7.1 You shall be obliged on delivery to check whether the products satisfy the agreement. If this is not the case, you shall inform Inno-WebShop as quickly as possible and in any case within 7 (seven) workdays following delivery, at least after observation was reasonably possible, in writing, providing grounds for this.
7.2 If it has been shown that the products do not satisfy the agreement, Inno-WebShop shall have the choice of replacing the respective products with new products by return or refunding the invoice value minus logistic costs.
7.3 You shall be entitled to return the product to Inno-Webshop within 7 (seven) days after delivery if you do not wish to accept a product for any reason. Returns shall in this case only be accepted if the product packaging is undamaged and the plastic seal on the packaging has not been broken and you shall also bear the costs of returning the goods. Inno-WebShop will refund the invoice amount minus logistics costs.

Article 8. Orders/communication
8.1 Inno-WebShop shall not be responsible for misunderstandings, mutilations, delays or orders and messages not being received properly following use of the Internet or any other means of communication in place between you and Inno-WebShop or between Inno-WebShop and third parties as far as relative to relations between you and Inno-WebShop except for cases of intent or gross negligence on the part of Inno-WebShop.

Article 9. Force majeure
9.1 Without prejudice to its other rights, Inno-WebShop shall be entitled in case of force majeure and at its discretion to either suspend your order or to dissolve the agreement without legal intervention by informing you of this in writing and without Inno-WebShop being liable to any compensation unless this would be acceptable in the given circumstances based on the criteria of reasonability and fairness.
9.2 Force majeure shall include any shortcoming that cannot be attributed to Inno-WebShop as it cannot be made culpable for it and cannot be charged for it under the law, any legal act or current beliefs applying.

Article 10. Miscellaneous
10.1 If you provide Inno-WebShop with a written address, Inno-WebShop shall be entitled to dispatch all orders to that address unless you provide Inno-WebShop with written details of another address to which your orders are to be dispatched.
10.2 If Inno-WebShop permits departures from these Conditions in the short- or long term and whether or not tacitly, this shall not affect its right to nevertheless demand direct and strict adherence to these Conditions. You may never assert any right based on the fact that Inno-WebShop applies these Conditions flexibly.
10.3 If one or more of the provisions of these Conditions or any other agreement with Inno-WebShop should be in conflict with any applicable legal provision, the respective provision shall lapse and be replaced by a new, legally acceptable and comparable provision to be established by Inno-WebShop.
10.4 Inno-WebShop shall be entitled to use third parties in carrying out your order(s)

Article 11. Applicable law and competent courts
11.1 All rights, obligations, offers, orders and agreements to which these Conditions shall apply as well these Conditions themselves shall be subject exclusively to Dutch law.
11.2 All disputes between parties shall be subject to the exclusive adjudication by the competent courts in the Netherlands.
